Natural Gas Services Group Inc a Colorado corporation was formed on December 17, 1998. The Company is a provider of small to medium horsepower compression equipment to the natural gas industry. It focuses mainly on the non-convention...al natural gas production business in the United States. It manufactures, fabricates and rents natural gas compressors that enhance the production of natural gas wells and provide maintenance services for its natural gas compressors. In addition, it sells custom fabricated natural gas compressors to meet customer specifications dictated by well pressures, production characteristics and particular applications. The Company also manufactures and sells flare systems for oil and natural gas plant and production facilities. It operates in three segments namely: Gas Compressor... Rental, Engineered Equipment Sales, Service and Maintenance and Corporate segments. The Gas Compressor Rental segment is mainly focused on non-conventional gas production. It provides rental of small to medium horsepower compression equipment to customers under contracts typically having minimum initial terms of six to 24 months. Engineered Equipment Sales segment includes: compressor fabrication, which involves the assembly of compressor components manufactured by it or other third parties into compressor units that are ready for rental or sale; compressor manufacturing, which designs and manufactures its own proprietary line of reciprocating compressor frames, cylinders and parts known as its CiP or Cylinder-in-Plane, product line; flare fabrication, which designs, fabricates, sells, installs and services flare stacks and related ignition and control devices for the onshore and offshore incineration of gas compounds such as hydrogen sulfide, carbon dioxide, natural gas and liquefied petroleum gases; and Parts sales and compressor rebuilds, which provide customer support for its compressor and flare sales businesses. The Service and Maintenance segment services and maintains compressors owned by its customers on an ‘as needed’ basis. Routine maintenance includes physical and visual inspections and other parametric checks that indicate a change in the condition of the compressors. The Company’s sales and marketing strategy is focused on communication with current customers and potential customers through frequent direct contact, technical assistance, print literature, direct mail and referrals. Fabrication of its rental compressors involves the purchase by it of engines, compressors, coolers and other components, and the assembly of these components on skids for delivery to customer locations. The Company has a number of competitors in the natural gas compression segment. All of its operations and facilities are subject to numerous federal, state, foreign and local laws, rules and regulations related to various aspects of its business, including containment and disposal of hazardous materials, oilfield waste, other waste materials and acids.
