WageWorks Inc was founded in 2000 incorporated in the state of Delaware. The Company completed its IPO on May 15, 2012. The Company provides tax-advantaged programs for consumer-directed health, commuter and other employee spending a...moreccount benefits, or CDBs, in the United States. It administers and operates CDBs, including spending account such as health and dependent care Flexible Spending Accounts, or FSAs, Health Savings Accounts, or HSAs, Health Reimbursement Arrangements, or HRAs, and commuter benefits, such as transit and parking programs. The company delivers its CDB programs through a scalable delivery model that employer clients and their employee participants may access through a standard web browser on any internet-enabled device including computers, smart phones and other mobile devices,...more such as tablet computers. Its on-demand delivery model eliminates the need for employer clients to install and maintain hardware and software in order to support CDB programs and enables to rapidly implement product enhancements across entire user base. Under HRA programs, employer clients provide their employee participants with a specified amount of available reimbursement funds to help their employee participants defray out-of-pocket medical expenses such as deductibles, co-insurance and co-payments. All amounts paid by the employer into HRAs are deductible by the employer as an ordinary business expense and are tax-free to the employee. The company offers Consolidated Omnibus Budget Reconciliation Act, or COBRA, continuation services to employer clients to meet the employer’s obligation to make available continuation of coverage for participants who are no longer eligible for the employer’s COBRA covered benefits which includes medical, dental, vision, HRAs and certain healthcare FSAs. COBRA requires employers to make health coverage available for terminated employees for a period of up to 36 months post-termination. It markets and sells CDB programs through multiple channels, including direct sales to large enterprises, direct sales and through brokers to SMBs, and direct sales to industry purchasing and affiliate groups. The company generates revenue from three major sources: healthcare solutions, commuter solutions and other services. Healthcare and commuter programs include revenues generated from benefit service fees based on employee participant levels, interchange and other commission fees. Most of its employee participants utilize prepaid debit cards to pay for their qualified healthcare and commuter expenses and it receive fees, known as interchange, that represent a percentage of the expenses transacted on each card. The Company also earns revenue from the sale of transit passes at full price to employee participants that it purchases from various transit agencies at a discount based on its volume of sales of their products. The Company is subject to applicable Internal Revenue Service regulations, which lay the foundation for tax savings and eligible expenses under the CDB programs the company administer. Each year, the IRS issues guidance regarding employee plans.lessless
