The Company is a multi-state managed care organization participating exclusively in government-sponsored health care programs for low-income persons, such as the Medicaid progr...moream and the Childrens Health Insurance Program, or CHIP. The Company also serves a small number of low-income Medicare members. The Company operates mainly through 10 licensed health plans in the states of California, Florida, Michigan, Missouri, Nevada, New Mexico, Ohio, Texas, Utah, and Washington. The health plans are locally operated by the Companys respective wholly owned subsidiaries in those ten states, each of which is licensed as a health maintenance organization, or HMO. The Company arranges health care services for its members through contracts with providers t...morehat include independent physicians and groups, hospitals, ancillary providers, and its own clinics. The Company contracts with both primary care physicians and specialists, many of whom are organized into medical groups or independent practice associations. Primary care physicians provide office-based primary care services. Primary care physicians might be paid under capitation or fee-for-service contracts and might receive additional compensation by providing certain preventive services. The Company's specialists care for patients for a specific episode or condition, usually upon referral from a primary care physician, and are usually compensated on a fee-for-service basis. When it contracts with groups of physicians on a capitated basis, it monitors their solvency. The Companys California health plan operates 17 company-owned primary care clinics in California staffed by its physicians, physician assistants, and nurse practitioners. These clinics are located in neighborhoods where the Companys members live, and provide it a first-hand opportunity to understand the special needs of its members. It develops specialized disease management programs that address the particular health care needs of its members, motherhood matters(sm) is a program designed to improve pregnancy outcomes and enhance member satisfaction. breathe with ease! is a multi-disciplinary disease management program that provides intensive health education resources and case management services to assist physicians caring for asthmatic members between the ages of three and fifteen. Healthy Living with Diabetessm is a diabetes disease management program. The Company's pharmacy management programs focus on physician education regarding appropriate medication utilization and encouraging the use of generic medications. Its pharmacists and medical directors work with its pharmacy benefits manager to maintain a formulary that promotes both improved patient care and generic drug use. The Company competes with a number of national, regional, and local Medicaid service providers, mainly on the basis of size, location, and quality of provider network, quality of service, and reputation. The Company is subject to various federal and state laws and rules regarding the use and disclosure of confidential member information, including HIPAA and the Gramm-Leach-Bliley Act.lessless
